Terms and Conditions

  1. All work shall be performed in a workmanlike and professional manner.

  2. We maintain the statutory workers' compensation and employer's liability insurance required by law, as well as adequate comprehensive general liability and professional liability insurance.

  3. Service hours are 8:00 a.m. to 5:00 p.m. EST, Monday through Friday, excluding locally observed SynEcology holidays. After hours service is available at overtime rates.

  4. SynEcology shall have the right to determine the method, details, and means of performing the work to be performed for Client.

  5. SynEcology shall determine the schedule of work; however it will use its best efforts to accommodate work schedule request.

  6. Service fees will be billed at a minimum of one hour for on-site service.  Telephone and email support services will be billed in 0.25 hrs increments.

  7. This agreement may be renewed by mutual agreement of the parties, in writing.

  8. This agreement may be terminated by either party upon ninety (90) days written notice.

  9. In consideration of the services to be performed by SynEcology, Client shall compensate SynEcology as set forth above, including travel fees and other expenses, if any.

  10. SynEcology will invoice client monthly, with invoices being due Net 10.  Any invoice not paid when due shall accrue interest at the rate of 1.5% per month.  Client shall pay SynEcology all costs of collection, including attorney’s fees and expert witness fees.

  11. The parties are and shall be independent contractors to one another, and nothing herein shall be deemed to cause this Agreement to create an agency, partnership, or joint venture between the parties.  Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between Client and either SynEcology or any employee or agent of SynEcology.  As an independent contractor, SynEcology shall pay and report all federal and state income tax withholding, Social Security taxes, and unemployment insurance applicable to the work performed for Client.  The parties agree to not solicit the employees of the other for employment.

  12. SynEcology shall not be liable to Client for any failure or delay caused by events beyond SynEcology’s control, including, without limitation, Client’s failure to furnish necessary information; sabotage, failure, or delays in transportation or communication; failures or substitutions of equipment; labor disputes; accidents; shortages of labor, fuel, raw materials, or equipment; or technical failures.

  13. SynEcology agrees to indemnify CLIENT and hold it harmless from damages incurred by Customer as a result of any claim by a third party that the professional services provided by SynEcology, infringes any patent, copyright, trademark or intellectual right of a third party; provided that SynEcology is given prompt, written notice of any such claim and retains the right to control and direct the investigation, preparation, defense and settlement of each such claim and provided further that CLIENT shall fully, cooperate with SynEcology in connection with the foregoing. SynEcology shall have no liability for any claim of patent or copyright infringement to the extent such claim:

    1. Is based on CLIENT’s or any other party's use of the Services or Software in combination with products or data not authorized in writing by SynEcology.

    2. Results from any modification or attempted modification of the Software by any party other than SynEcology.

    3. Arises from use of any portion of the Software and Services in a system other than what has been mutually agreed by the parties.

    4. In the event a claim described in Section is made, SynEcology and its third party vendors agree to use all commercially reasonable efforts to obtain the right for CLIENT to use the Software and Services as is provided for in this Agreement or to furnish a non-infringing product substantially equivalent in function to the infringing portion of the Software or Services or to return a pro-rata portion of the purchase price for the infringing portion of the Software or Services based upon a three year depreciation schedule. The foregoing states the entire liability of SynEcology concerning patent or copyright infringement.

  14. In no event shall either party be entitled to indirect, incidental, or consequential damages, including lost profits, based on any breach or default, or any negligence, of the other party.

  15. SynEcology will not undertake or continue services which cannot reasonably be expected to be completed on schedule with professional competence.  Confidential information obtained in the course of services will not be disclosed without your consent.

  16. SynEcology’s aggregate maximum liability relating to services under this Agreement (regardless of form of action, whether in contract, negligence or otherwise) shall be limited to the charges paid to SynEcology for the portion of its services or work products giving rise to liability.  Neither of us will be liable for consequential or punitive damages (including lost profits or savings) even if aware of their possible existence.

  17. Rates are subject to change upon thirty (30) days notice.

  18. Client shall own all right, title and interest (including all intellectual property rights) in any materials, documentation, software or other deliverables provided to it under this Agreement ("Deliverables"). All Deliverables shall be considered "works-made-for-hire" under the US Copyright Law. SynEcology hereby assigns to Client all of its right, title and interest (including all intellectual property rights) in the Deliverables.

  19. SynEcology represents and warrants that it has all necessary licenses and rights to provide the Deliverables to Client and that such Deliverables do not infringe or violate any intellectual property rights of any third party.

Assumptions

  • One Contact: SynEcology will be available for support 8:00AM-5:00PM Easter Standard Time via one phone number (802-728-6236) and one email address support@synecology.com

  • Maintenance Windows: Planned/Scheduled maintenance/fixes/reboots/etc is to be done after 5PM EST week days and any time on the weekend these changes are done at regular rates.

  • Network Access: will be via remote desktop

  • Policy Conformance: SynEcology will make every effort to be familiar and conform to Client change and configuration management policies and procedures, and communications protocols. Client will include SynEcology in network Communications: SynEcology will be informed regarding network policies or planned service or configuration changes. SynEcology will follow the Client's process for getting permission to make changes to the SharePoint production environment and to notify users of outages. Client will provide SynEcology with documentation on their policies and procedures and sample forms.

  • Project change requests would be mutually agreed upon and if out of scope be billable at our billing rates.

  • VPN remote access will provide adequate access and to fulfill project.

  • SynEcology would respect all change management process, project communications, and binaries archival methods.

  • MOSS/WSS Portal would be designed to be compatible with IE 6.0, 7.0, and 8.0 with no guarantees are made for cross browser compatible functionality.
Terms
  • Overage Hours (monthly hours over service agreement for support and enhancements) will be billed.

  • Maintenance Budget: SynEcology will make effort to fulfill all break-fix and maintenance within budgeted hours and no out of scope work is billable unless pre-approved.

  • New Development: Requests for development projects fall outside the SynEcology Maintenance agreement. New development will require a separate Development Proposal from SynEcology which will include the mutually agreed upon scope and fees for the development project.
Invoicing
  • Invoicing: Quarterly for upcoming quarter
Cancellation
  • Cancellation: Client may cancel the maintenance agreement anytime you are not delighted with our services with 90 days notice.
Exclusions
  • *Overtime Rates apply after 6pm weekdays or Sat/Sun for emergencies and will deduct from budgeted 6 hours per month for break-fix and maintenance work of portal server.

Remediation

  • If dissatisfied with our SLA we will make every attempt to takes steps toward your satisfaction.
